Terms of Service

1. Acceptance of terms

By accessing or using Retainly (the “Service”), including our website at retainlylearning.com and our iOS application, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Retainly Learning Ltd (“Retainly,” “we,” “us,” or “our”), a company registered in England and Wales.

If you are under 18, you confirm that you have the consent of a parent or guardian to use the Service. We do not knowingly permit users under the age of 13 to create an account.

2. Description of service

Retainly is an AI-powered revision application designed for UK GCSE and A-Level students. The Service provides:

  • AI-generated flashcards mapped to official exam board specifications (AQA, Edexcel, OCR, SQA).
  • Spaced repetition scheduling using the SM-2 algorithm to optimise memory retention.
  • AI-generated quiz questions with multiple-choice answers and worked explanations.
  • Progress tracking, including streaks, XP, levels, and mastery analytics.
  • Exam planning tools with countdown timers and readiness scores.

The Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account registration

To access certain features of the Service, you must create an account using a valid email address. You are responsible for:

  • Providing accurate and up-to-date account information.
  • Maintaining the security of your account credentials.
  • All activity that occurs under your account.

You must notify us immediately if you become aware of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and billing

Retainly offers three tiers: a free “Free” tier and two paid subscriptions — “Plus” and “Pro”. The Free tier provides access to key-term and definition flashcards, spaced repetition, daily streak and XP, and all subjects and exam boards. Plus and Pro unlock additional features as described in the app.

Pricing: Paid subscriptions are available at the following rates:

  • Plus — £4.99 per month or £35.99 per year (saving approximately 40%).
  • Pro — £7.99 per month or £57.99 per year (saving approximately 40%).

Prices are in British Pounds and include VAT where applicable.

Billing: The Service is currently available on iOS only. All billing is processed exclusively through Apple's App Store. We do not receive or store your payment card details. Billing is governed by Apple's terms and conditions.

Cancellation: You may cancel your subscription at any time through your Apple ID settings or within the app. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to the Service, other user accounts, or our systems and networks.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools, bots, or scripts to access the Service or extract data, except as explicitly permitted by our API terms.
  • Circumvent or manipulate rate limits, subscription restrictions, or usage quotas.
  • Upload or transmit malicious code, spam, or any content that infringes the rights of others.
  • Share, resell, or redistribute your account access or paid subscription.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these terms.

6. Intellectual property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, and AI-generated educational content — are the property of Retainly Learning Ltd or its licensors and are protected by UK and international copyright, trademark, and intellectual property laws.

Your content: You retain ownership of any content you create within the Service (e.g. custom flashcard decks). By using the Service, you grant us a limited, non-exclusive licence to store and process your content solely to provide the Service to you.

Curriculum library content: Our pre-seeded flashcards and quiz questions — the content available in the Retainly curriculum library — are reviewed against official exam board specifications before publication. However, AI-generated content created in real time from your own notes or custom topics is not guaranteed to be aligned to any specific exam board specification and may contain errors. You should always verify custom AI-generated content against official specification documents published by your exam board and your official course materials.

7. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • Custom AI-generated flashcards or quiz questions (created from your own notes or custom topics) will be accurate, complete, or aligned with specific exam board requirements. Our pre-seeded curriculum library content is reviewed for spec accuracy but may still contain errors.
  • The Service will meet your specific revision needs or guarantee any exam results.

Retainly is a study aid and does not replace qualified teaching, official textbooks, or exam board resources.

8. Limitation of liability

To the fullest extent permitted by law, Retainly Learning Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of educational opportunity, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or £50, whichever is greater.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of your statutory rights as a consumer under the Consumer Rights Act 2015; or (d) any other liability that cannot lawfully be excluded or limited under English law.

9. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or the Service shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in another part of the UK, you may also bring proceedings in the courts of that jurisdiction.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you via the app or by email at least 14 days before the changes take effect. The “Last updated” date at the top of this page indicates when these Terms were last revised.

Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service and delete your account.
